A resident directorfor your Indian company.

Every Indian company must have at least one director who stays in India for 182 days or more in each financial year. For a UK-owned subsidiary that often means appointing someone new. We explain the rule, help you find and appoint the right person, put protections in place and keep the director's filings up to date.

The resident director rule.

Section 149(3) of the Companies Act, 2013 requires every company to have at least one director who has stayed in India for a total of at least 182 days during the financial year. The rule applies to all companies, including wholly owned subsidiaries of UK companies. For newly incorporated companies, the test is applied proportionately in the first year.

The person can be of any nationality. What matters is the time they spend in India. Many UK-owned companies appoint their Indian country manager, or an experienced independent professional.

LLPs have a similar rule

An LLP must have at least one designated partner who is resident in India, which for LLPs means staying in India for at least 120 days in the financial year. See LLP Compliance.

Option 2

Option 3
